Biomasse Vision 2030 has announced its intention to launch a simplified public tender offer to acquire all remaining shares of France-based biomass specialist Charwood Energy at €4.10 per share, with plans to execute a mandatory squeeze-out and delist the company from Euronext Growth Paris. Formed by key shareholders and management—including founder Adrien Haller, Julie Bouvier, Franck Mainard, Johes, and Fonds Eiffel Gaz Vert—Biomasse Vision 2030 consolidated an 89.64% stake via in-kind share contributions and acquired an additional 2.11% block from 1M86. Holding 91.75% of Charwood Energy’s capital and 91.68% of voting rights, the consortium easily surpasses the statutory threshold required to force the compulsory buyout of minority holdings following the tender period.

The transaction directly addresses the strategic and operational limitations faced by small-cap energy transition companies operating on public financial markets. Charwood Energy’s public listing on Euronext Growth Paris exposed the company to stock price volatility, constrained market liquidity, and significant regulatory compliance costs, which often mismatched the capital-intensive nature and long-term investment timelines required for biomass infrastructure development. Public market valuations frequently fail to reflect the underlying asset value of specialized bioenergy firms, restricting their ability to secure flexible growth capital or execute long-range industrial transformations required for scalable biomass and biocarbon deployment.

To resolve these financial and operational constraints, Biomasse Vision 2030 structured a simplified tender offer supported by SwissLife Banque Privée as presenting bank, backed by an independent valuation review from Crowe HAF. The offered purchase price of €4.10 per share represents an 18.16% premium over Charwood Energy’s closing price prior to the announcement and a 20.63% premium over its three-month volume-weighted average price. Transitioning Charwood Energy back into a private entity isolates the business from public equity market pressures, streamlines decision-making processes, and provides an agile corporate structure capable of securing flexible private capital for biomass energy projects.

Upon regulatory approval and compliance declaration by the French Financial Markets Authority (AMF), the tender offer will allow remaining public shareholders to liquidate their positions at a premium. Following the completion of the offer period, Biomasse Vision 2030 will execute the mandatory squeeze-out procedure to acquire all unallocated shares at €4.10 per share, resulting in the final delisting of Charwood Energy from Euronext Growth Paris and fully reorienting the company as a private biomass energy transition enterprise.
